Please read these terms and conditions carefully before using our services. By accessing or using our website and services, you agree to be bound by these terms.
Services
WeExalate provides web development, digital marketing, and related services to clients. All services are provided according to the specifications agreed upon in writing between WeExalate and the client.
Client Responsibilities
Clients agree to:
- Provide all necessary content, materials, and access required for project completion
- Respond to communications and provide feedback within reasonable timeframes
- Ensure all provided materials do not infringe on third-party rights
- Maintain up-to-date contact information for project communications
Intellectual Property
All pre-existing intellectual property remains the property of the respective owners. Upon full payment, clients receive ownership of the final deliverables as specified in the project agreement. WeExalate retains the right to display completed work in our portfolio unless otherwise agreed in writing.
Payment Terms
Payment terms are specified in individual project agreements. Unless otherwise stated, a 50% deposit is required before work begins, with the remaining balance due upon project completion. Late payments may incur interest charges at a rate of 1.5% per month.
Revisions and Changes
The scope of revisions is defined in each project agreement. Additional revisions or changes to the project scope may incur additional fees. All changes must be approved in writing before implementation.
Timeline
Project timelines are estimates and may be affected by client feedback, content delivery, and other factors outside our reasonable control. WeExalate is not liable for delays caused by client-related factors.
Warranties and Limitations
WeExalate provides services on an "as is" basis. We do not warrant that the services will be uninterrupted, timely, secure, or error-free. WeExalate is not responsible for any loss of data, profits, or business opportunities resulting from the use of our services.
Liability
WeExalate's total liability for any claims arising from the use of our services shall not exceed the amount paid by the client for the specific services giving rise to the claim. WeExalate shall not be liable for any indirect, incidental, special, or consequential damages.
Termination
Either party may terminate the agreement with written notice. Upon termination, the client is responsible for payment of all services rendered up to the termination date. Prepaid amounts for services not yet rendered may be refunded at WeExalate's discretion.
Confidentiality
WeExalate agrees to maintain the confidentiality of all client information and proprietary materials. This obligation continues after the termination of services.
Governing Law
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be resolved in the courts of Valsad, Gujarat.
Changes to Terms
WeExalate reserves the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services after such changes constitutes acceptance of the modified terms.
